Kodak Alaris buys service business from Eastman Park Micrographics

Kodak Alaris Inc. has purchased the micrographics service business of Eastman Park Micrographics Inc. in Europe, Asia and Latin America. The announcement late Thursday afternoon followed a lawsuit against Kodak Alaris filed this week by the Dallas-based EPM.

The acquisition took effect April 30, Kodak Alaris said. Under a previous agreement, Kodak Alaris had provided service on behalf of EPM. Kodak Alaris now serves micrographics channel partners and customers directly to provide technical services and support in those geographic regions.

"We're pleased to continue providing micrographics customers with the high-quality service that they've come to expect," said Budd Webster, global services general manager and vice president of the Document Imaging division at Kodak Alaris. "With the purchase of this service business in these regions, we are now a leading service provider for EPM equipment, supporting customers in 27 countries.”

Kodak Alaris officials said the purchase price will not be disclosed. No jobs will be added or lost in the transaction. Kodak Alaris purchased the business from EPM in Europe, Asia and Latin America, but already had been providing the service, a company spokesman said. That service will not change, but will be provided under the Kodak Alaris name.

Kodak Alaris also will continue to distribute EPM equipment and media in Asia, Europe and Latin America.

On Wednesday, EPM said it had obtained a temporary restraining order against Kodak Alaris in state Supreme Court in Monroe County under which Kodak Alaris is enjoined from soliciting customers of EPM, directly or indirectly.

EPM recently announced the formation and implementation of its own field service organization. Availability of the new service was timed with the termination of EPM’s field service provider agreement with Kodak Alaris.

The Dallas firm said it filed a lawsuit May 12 alleging Kodak Alaris breached its obligations to EPM by improperly soliciting business from EPM’s micrographics service customers and by appropriating EPM’s confidential and proprietary information.

“Kodak Alaris believes it is inappropriate to comment substantively on litigation that is pending.  But it regrets that  Eastman Park Micrographics felt compelled to bring this action and will be responding vigorously and truthfully to EPM’s claims in accordance with the schedule that the court has already put in place,” the Kodak Alaris spokesman said.
 
EPM was formed in March 2011 upon the purchase of the micrographic business from Eastman Kodak Co.

EPM officials did not respond to a request for additional information or comment regarding the lawsuit and the deal.
